Terms of sale and use — IronLabs Tech

About these terms

These terms are between you and IronLabs Tech, the maker of Auralyn, based in Winnipeg, Manitoba, Canada. They cover ironlabstech.com, IronLabs Tech accounts, and buying and using Auralyn. By creating an account, buying a licence, or using Auralyn after its free trial, you agree to them. When you create an account or continue to payment on this website, we ask you to agree to them.

The refunds and cancellation page is part of these terms. The privacy policy explains how we handle your information.

The free trial

Auralyn is a free download with a 14-day trial of every feature on that computer. The trial needs no account and no card. There is one free trial per computer: Auralyn checks with our account service, so reinstalling it does not start a new trial. When it ends, your library, playlists and settings stay available, but playing needs a licence. Please use the trial to check that Auralyn works well with your computer and your media before you buy.

Plans and prices

Lifetime: US$49, one payment. A licence for every version of Auralyn, including every update and future major versions such as 2.0, at no extra cost. It works offline once it is activated.
Monthly: US$4.99 a month. Renews automatically every month until you cancel. While it is paid, it covers the newest version of Auralyn.
From Monthly to Lifetime. If you buy Lifetime while signed in to the account that holds a paid Monthly plan, the unused part of the month you have paid for, worked out to the second, comes off the Lifetime price before tax. When the payment goes through, the Monthly plan ends at once and is not charged again. This credit is the only discount on that purchase, so a discount code cannot be added, and it is never paid out as money. If the plan renews while your checkout is still open, we refund that renewal. If you later get a refund for Lifetime, the Monthly plan does not come back.
Mac and Windows. One licence covers the Mac version, and the Windows version when it is released. No Windows release date has been set.

Prices are in US dollars and do not include sales tax. Tax, such as GST, HST, PST or VAT, is worked out from your location and added at checkout, so the total can be higher than the listed price. Your bank may also charge a currency conversion fee.

We may change prices. A new price applies to new purchases. For Monthly, we will email you at least 30 days before a new price applies to your plan. It applies from your first renewal after that notice period, and you can cancel before then.

How buying works

You pay on Stripe's checkout page, which you reach from the pricing page, your account or Auralyn. Auralyn is sold through Stripe Managed Payments, so the checkout page says "Sold through Link": Link, a Stripe service, is the merchant of record. It sells you the licence, takes the payment and the sales tax, and sends your receipt, and its own terms, shown at checkout, apply to the payment. IronLabs Tech makes Auralyn, grants your licence on these terms and provides support.

After you pay, we email your licence key to the address you used at checkout. If you bought while signed in, or later confirm an account with that email address, the licence shows in your account. You can also add it to any account, or activate Auralyn, with the key. Keep the email: the key is your proof of purchase.

Your licence

When you buy, IronLabs Tech gives you a personal, non-exclusive, non-transferable licence to install and use Auralyn, on these terms:

Up to 3 computers at a time, Mac and Windows together. To move to another computer, deactivate one in Auralyn (Settings → Account) or on your account page; the slot is freed at once. To prevent abuse, a licence can be deactivated up to 10 times in 30 days.
For you only. A licence is for the person who bought it, on up to 3 of their own computers, for their personal use or their own work. Do not share, sell, rent or publish your licence key, or let others use your licence. A licence cannot be transferred to someone else or resold.
Licence checks. A Lifetime licence works offline once activated; when online, Auralyn checks it at most once a week, and being offline never stops it. A Monthly licence must check in at least every 30 days, with 14 more days of grace; if it cannot check in by then, playback waits until it can.
Leave the software as it is. Do not get around the licence check, or copy, modify, reverse engineer or redistribute Auralyn, except where the law or an open-source licence allows it (below).
You buy a licence, not the software. IronLabs Tech keeps all rights in Auralyn. Open-source parts of Auralyn come under their own licences, listed in Help → Third-Party Notices and on the Open source page, and nothing here limits your rights under them. That includes changing those parts, using your changed copy with Auralyn, and reverse engineering Auralyn as far as needed to debug such changes.

When a licence ends or is revoked, your computers learn it at their next check-in, and playing then needs another licence.

Monthly renewals and cancelling

Monthly renews on the same day each month and is charged to the payment method you gave at checkout, until you cancel.
Cancel anytime with Manage billing, in your account on this website or in Auralyn (Settings → Account). It opens Stripe's billing page, where you can also update your card and see invoices. If you cannot use Manage billing, email support@ironlabstech.com and we will cancel for you.
Cancelling stops future charges. Your plan keeps working until the end of the month you have paid for, then ends. The current month is not refunded. You can undo a cancellation on the same page until then.
If a renewal payment fails, Stripe tries again for up to about two weeks, and your licence keeps working meanwhile. Update your card in Manage billing. If every attempt fails, the plan is cancelled and the licence ends.
Deleting your account cancels a renewing plan at the end of its paid month.

Refunds

Lifetime: ask within 14 days of purchase and you will get a full refund of everything you paid, including sales tax. A refund ends the licence: it is revoked, stops working on each computer at its next check-in, and you agree to stop using it.
Monthly: cancel anytime as above. The current month is not refunded; if you move to Lifetime instead, its unused part comes off the Lifetime price, as set out under Plans and prices.
How to ask: email support@ironlabstech.com from the address you bought with, with your receipt or order details. The refund goes back to your original payment method through Stripe and can take several business days to appear.
Payment disputes: if you dispute a Lifetime payment with your bank instead of asking us, and the dispute is decided in your favour, the licence bought with it is revoked, as with a refund.
In the EU and UK: consumers there have a legal right to withdraw from most online purchases within 14 days. For Lifetime, the 14-day refund above applies even after you have downloaded and activated Auralyn. Monthly can be cancelled anytime, as above.

Nothing here limits refund rights you have under the consumer law where you live.

Your IronLabs Tech account

You must be at least 16 to create an account.
Use an email address you can read, and keep your password, your recovery codes and the devices that hold your passkeys or authenticator app to yourself. You are responsible for what is done with your account. If you think someone else has used it, change your password, check your sessions under Account → Security, and tell us.
If you sign in with Google, your Google account is governed by Google's own terms; we are not responsible for it. If you lose your authenticator app and all your recovery codes, email us: we will need to confirm that the account is yours before we can help, and may not always be able to.
Member numbers, including "Founding member" numbers, show the order in which Lifetime licences were bought. They are a thank-you, give no extra rights, and cannot be transferred or sold.
You can delete your account at any time from your account page or in Auralyn. Deleting it does not refund anything. A Lifetime copy you already activated keeps working, and its licence can be added to a new account with its key.
We may suspend or close an account, or revoke a licence, if it is used for fraud (including payments that are reversed), to attack or abuse our service, or to share or resell licence keys. Where it is reasonable, we will tell you first and give you a chance to fix it.

Your media and online information

Auralyn plays files and servers that you provide. It does not supply music or video, and you are responsible for having the right to use your media. Lyrics, artist information and movie and TV information come from other services; we do not promise they are complete, correct or always available, and you can turn these lookups off in Settings.

Using this website and the account service

Do not try to break into, overload or interfere with this website or the account service, use accounts that are not yours, or create accounts or use the service by automated means. We work to keep the service running, but it may sometimes be unavailable for maintenance or because of problems; licences you have already activated keep working through short outages. If we ever shut down the account service, we will release a final update so Lifetime copies of Auralyn keep working without it.

Updates

We may update Auralyn to fix problems and to add, change or remove features. Lifetime covers every update and every future version, and Monthly covers the newest version while it is paid. Auralyn tells you when an update is available.

Warranty

Auralyn, this website and the account service are provided "as is". We do not promise that they will be free of errors or interruptions, or that Auralyn will play every file. To the extent the law allows, we make no other promises, express or implied. This does not affect the legal guarantees you have as a consumer where you live, such as the EU and UK rules for digital content.

Liability

To the extent the law allows, IronLabs Tech is not liable for indirect, incidental or consequential losses, or for lost data (please keep backups of your media and library), and our total liability for any claim is limited to what you paid for Auralyn in the 12 months before it. Nothing here limits liability that the law does not allow to be limited, or rights you have under the consumer law where you live.

Governing law

These terms are governed by the laws of Manitoba and the federal laws of Canada that apply there. If you are a consumer, you keep the protection of the law where you live.

Changes to these terms

We may update these terms. The date at the top shows the latest version, and changes apply from that date. A change does not affect a purchase you have already made, except that for Monthly it applies from your first renewal after we tell you about it (for a price change, after at least 30 days' notice, as set out under Plans and prices). If a change is significant, we will also email our customers about it.
